MADEIRA DRIVE CHALETS TENANTS ASSOCIATION

CONSTITUTION

1. NAME
The name of the Association shall be Madeira Drive Chalets Tenants Association.
2. AIMS
The aims of the Association are:
  • To work for and represent all those renting in the 23 chalets in Madeira Drive; 
  • To promote the exercise of tenants’ rights and the maintenance and improvement of their chalets, amenities and environment;
  • To uphold equal opportunities and work for good relations amongst all members of the community;
  • To organise or assist the organisation of social activities as agreed by the Committee or General Meeting of the Association, which will be open to all members.
3. MEMBERSHIP
Membership shall be open to all tenants who have a lease or licence agreement with Brighton and Hove City Council for any of the 23 chalets in Madeira Drive situated south of the railway with the common concrete foundation.
The Chair will keep a record of membership, in which each member will state the address where correspondence will be sent.
Membership of the Association will be free and all tenants will automatically become members of the Association unless they indicate in writing to the Secretary that they do not wish to be a member.
The Association will not discriminate on the grounds of gender, race, colour, ethnic or national origin, sexuality, disability, religious or political belief, marital status, class or age.
4. COMMITTEE
The business of the Association will be carried out by a Committee elected at the Annual General Meeting, one of whom shall act as Chair and one as Secretary/Treasurer.
The inaugural meeting will be held by the signatories of this constitution.
Within the first year, two persons shall be elected to the officer posts at the Annual General Meeting, plus at least three other members.
The Committee will meet as necessary and not less than 2 times a year.
Committee meetings will be open to any member of the Association wishing to attend, who may speak but not vote.
5. ANNUAL GENERAL MEETING
The Committee will call an Annual General Meeting in the months of summer.
Not less than FOURTEEN days’ notice will be given to all 23 tenants.
At this meeting:
  • The Committee will present an annual report of the Association;
  • The Committee will present the accounts of the Association for the previous year;
  • The Officers and Committee for the next year will be elected;
  • Any proposals given to the Secretary at least seven days in advance of the meeting will be discussed.
6. SPECIAL GENERAL MEETING
The Secretary will call a Special General Meeting at the request of the majority of the Committee, or two members of the Association giving a written request to the Chair or Secretary stating the reason for their request.
At least seven days’ notice will be given of the Special General Meeting, which will take place within twenty-one days of the request.
7. CONDUCT OF BUSINESS
The quorum for Committee meetings of the Association will be 3 members.
The quorum for all General Meetings of the Association will be 7 members.
Amendments to the constitution may be proposed at the Annual General Meeting or any other General Meeting, having been given in writing to the Secretary.
The Association has the power to affiliate to any organisation which may be of benefit to its members.

9. FINANCE
The Treasurer will keep an account of the finances of the Association and will operate a bank account in the name of the Association. Two cheque signatories will be nominated by the Committee (one to be the Treasurer). Any two of these must sign every cheque. The signatories must not be related nor members of the same household.
All money raised by or on behalf of the Association is only to be used to further the aims of the Association.
10. DISSOLUTION
The Association may be dissolved at any time with a two-thirds majority vote at a General Meeting. At least fourteen days notice must be given to all those eligible for membership. For the sole purpose of dissolution a quorum need not apply.
After all debts have been paid any grant monies remaining will be repaid and any remaining monies will be given to a local charity.
